1. Acceptance of Terms
By accessing or using the Sprint Planning Agent and related services provided by IdeaRoost LLC (“IdeaRoost,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our services.
2. Description of Service
IdeaRoost provides an AI-powered sprint planning assistant (“Service”) that integrates with third-party work item tracking systems including Azure DevOps and Jira. The Service uses artificial intelligence to assist software development teams with sprint planning, backlog prioritization, and Agile process improvement.
3. Accounts and Registration
You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information when creating your account and keep it up to date.
4. Subscription Plans and Payment
The Service is offered under the following plans:

Subscription fees are billed monthly in advance. All fees are non-refundable except as required by law or as explicitly stated in these Terms. IdeaRoost reserves the right to change pricing with 30 days notice to existing subscribers.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Transmit any malicious code or interfere with the Service
- Attempt to gain unauthorized access to the Service or its infrastructure
- Use the Service in any manner that could damage, disable, or impair it
- Resell or sublicense the Service without written permission from IdeaRoost
6. Third-Party Integrations
The Service integrates with third-party platforms including Azure DevOps and Jira. Your use of those platforms is subject to their respective terms of service. IdeaRoost is not responsible for the availability, accuracy, or behavior of third-party services.
Your credentials for third-party platforms (such as Personal Access Tokens) are stored encrypted and are used solely to provide the Service on your behalf.
7. Intellectual Property
IdeaRoost retains all rights, title, and interest in and to the Service, including all software, algorithms, user interfaces, and documentation. You retain all rights to your data, including backlog items, sprint plans, and any content you provide to the Service.
You grant IdeaRoost a limited license to process your data solely for the purpose of providing the Service.
8. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. By using the Service you consent to the collection and use of your data as described in the Privacy Policy.
9. AI-Generated Content
The Service uses artificial intelligence to generate sprint plans and recommendations. AI-generated content is provided for informational purposes only. IdeaRoost does not guarantee the accuracy, completeness, or suitability of AI-generated recommendations. You are solely responsible for decisions made based on the Service’s output.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IDEAROOST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
IDEAROOST’S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO IDEAROOST IN THE TWELVE MONTHS PRECEDING THE CLAIM.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
12. Termination
Either party may terminate these Terms at any time. Upon termination, your right to use the Service ceases immediately. IdeaRoost will retain your data for 30 days following termination, after which it will be deleted. You may request immediate deletion by contacting support@idearoost.com.
If you cancel a paid subscription, you will retain access to paid features until the end of the current billing period.
13. Changes to Terms
IdeaRoost reserves the right to modify these Terms at any time. We will provide notice of material changes by email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
14. Governing Law
These Terms are governed by the laws of the State of Louisiana, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Lafayette Parish, Louisiana.
